BYLAWS OF THE
SAN JOAQUIN VALLEY COUNCIL FOR THE SOCIAL STUDIES
(A Non-Profit 501 C3 Professional Association)

ARTICLE I - PURPOSES

Section 1.1 The purposes of the San Joaquin Valley Council for the Social Studies (hereinafter SJVCSS) shall be:

1.1.1 To support the importance of the social studies in education at the local,
state, and national levels.

1.1.2 To assist and encourage social studies teachers at all levels to provide
quality instruction in history, the social sciences, and related fields.

1.1.3 To advocate quality social studies teaching at the state, county, and local
levels.

1.1.4 To encourage superior training of new teachers in social studies.

1.1.5 To identify quality resources in California for the improvement of social
studies programs and instruction.

1.1.6 To assist in the development and implementation of California policies,
frameworks, guides, testing programs, and other instructional components.

ARTICLE II - MEMBERSHIP AND DUES

Section 2.1 Any person who is interested in furthering the purposes of the SJVCSS is eligible for
membership.

2.1.1 Members shall join the SJVCSS and their state social studies council and/or
affiliated organization simultaneously.

2.1.2 The amount of SJVCSS dues shall be set by the California Council for the
Social Studies (CCSS) Board of Directors annually at the May meeting. Membership levels for CCSS shall be provided for in the CCSS Standing Rules.

ARTICLE III - AFFILIATIONS

Section 3.1 SJVCSS may remain affiliated with CCSS if it has at least fifteen (15) members upon
recommendation by the Executive Committee and approval of the Board of Directors. SJVCSS must reaffiliate annually by date specified by CCSS Board of Directors. Reaffiliation is required in order for SJVCSS to receive membership funds.

3.1.1 The CCSS Board of Directors may grant special affiliated status to SJVCSS if it has fewer than fifteen members where specific needs exist

3.1.2 SJVCSS is under the authority of, the Central Area Vice-President of CCSS.

3.1.3 The Regional representation of SJVCSS is on the CCSS Board of Directors as provided for in Article VI of the CCSS Bylaws.

3.1.4 The transmission of dues and membership information between SJVCSS and the CCSS shall be provided done by the SJVCSS Treasurer.

3.1.5 SJVCSS shall be declared inactive or disaffiliated only after such written notice from the SJVCSS Executive Board that such action would be voted
on at the next two consecutive meetings of the CCSS Board of Directors.

3.1.6 Should SJVCSS be declared inactive or disaffliliated by the CCSS Board of Directors SJVCSS may request reinstatement to full affiliation by majority vote of the CCSS Board of Directors with documented evidence of local
activities and fifteen members.

Section 3.2 The SJVCSS & CCSS are affiliated with the National Council for the Social Studies. (NCSS)

ARTICLE IV - OFFICERS

Section 4.1 The elected officers, or Executive Committee of the SJVCSS are also members of the Board of Directors.

4.1.1 These officers shall be a President, a Vice-President, a Secretary, and a Treasurer

4.1.2 The term of office is two years, beginning on July 1 and ending on June 30.

4.1.3 The officers are nominated and voted on in even years. Movement between offices is not automatic.

4.1.4 The officers shall be elected by ballot of all members of the SJVCSS.

4.1.5 The election of officers shall be by ballot, emailed by May 1st. The return ballots must be postmarked no later June 1st. The ballots shall be opened and counted by a Board of Tellers. Refer to Section V - Elections for additional information.

4.1.6 The duties of the elected officers and other matters relating to their holding
office are as follows.

4.1.6.1 The President shall (a) plan and chair the meetings of the Board of Directors, (b) plan for and chair the meetings of the Executive Committee, (c) be the primary spokesperson for SJVCSS, (d) work closely with advocacy efforts, (e) give direction to special committees, (f) have his/her signature on the SJVCSS bank account, (g) assume responsibility for keeping careful records of all financial transactions in the event that the treasurer is incapacitated.

4.1.6.2 The Vice-President shall (a) assist the president in the overall direction of the Council, (b) chair the Nominating Committee (c) assume the duties of president upon the incapacitation, resignation or death of the president. He/she shall continue fulfilling these duties assisted by the Executive Committee.

4.1.6.3 The Secretary shall (a) assist the president and the vice-president in the overall direction of the Council, (b) keep careful minutes during the bimonthly Board of Directors meetings including announcing the attendance of Board Members and general SJVCSS members and guests, (c) disseminate the minutes via email prior to each meeting in preparation for approval, (d) develop a ballot brochure containing information about the candidates which shall accompany the ballots, (e) prepare and email the ballots (f) notify the Executive Committee and all candidates of the unofficial results of the election prior to the certification by the Board of Directors.

4.1.6.4 The Treasurer shall (a) have sole possession of the checkbook, and he/she and/or the president shall be the only persons to sign checks and make deposits of funds, (b) keep careful records of all financial transactions, (c) provide a current financial report in writing at each bimonthly Board Meeting,

4.1.7 Executive Committee vacancies may be filled by the Board of Directors for the unexpired portion of the term. .
Section 4.2 SJVCSS officers must meet the following qualifications at the time of the beginning of
his/her terms of office:

4.2.1 The President

4.2.1.1 shall be an SJVCSS member in good standing.

4.2.1.2 shall have served a minimum of three (3) years on the SJVCSS Board of Directors.

4.2.2 The Vice-President

4.2.2.1 shall be an SJVCSS member in good standing.

4.2.2.2 shall have served a minimum of three (3) years on the SJVCSS Board of Directors.

4.2.3 The Secretary

4.2.3.1 shall be an SJVCSS member in good standing

4.2.3.2 shall have served a minimum of two (2) years on the SJVCSS Board of Directors.

4.2.4 The Treasurer

4.2.4.1 shall be an SVJCSS member in good standing

4.2.4.2 shall have served a minimum of two (2) years on the Board of Directors.

4.2.5 The 12 members of the Board of Directors

4.2.5.1 shall be SJVCSS members in good standing

4.2.5.2 The seats of the Board of Directors, are not limited by geographic area, but attempts will be made to include members from all counties represented in the SJVCSS.

ARTICLE V - ELECTIONS

Section 5.1 Nominations for SJVCSS offices may be made by any SJVCSS member, including the nominee, or by the SJVCSS Nominating Committee, to be appointed by the Executive Committee

5.1.1 The Nominating Committee shall, prior to September, notify SJVCSS members of the offices open in the upcoming election, and make available a Nomination Form, which would ask for the following information: the candidate’s name, CCSS member number, a current picture, the number of years on the SJVCSS Board of Directors, and a personal position and qualification statement.

5.1.2 An “open nomination season” shall be from February 1-March 15 of even calendar years, during which any SJVCSS member can submit a nomination to the Nominating Committee, a written assent by the nominee to the nomination being included.

5.1.3 The Nominating Committee shall check the nomination form and determine whether or not the nominee meets the qualifications for the particular office sought. The nominating party (nominee, other SJVCSS member, local council) shall be promptly advised in cases in which the qualifications are deemed not to be met.

5.1.4 The Secretary shall have the responsibility for the development of a ballot brochure containing information about the candidates which shall accompany the ballots emailed to members in by May 1st.

5.1.5 The Nominating Committee may solicit candidates for offices for which there are no nominees by March 15th.

5.1.6 The Nominating Committee shall, at the close of the open nomination season on March 15, develop a slate of candidates from those qualified nominations received, and, insofar as is possible, recruit candidates to run for offices for which there are no nominees from the open nomination season.

5.1.7 The Nominating Committee reports its slate of candidates to the April meeting of the Board of Directors, at which time the Board entertains nominations from the floor for any office each of which must be supported by a written statement or verbal statement of assent from the nominee if that person is present.

5.1.8 The Board of Directors, at its April meeting, shall approve a final slate of candidates which shall include the Nominating Committee’s slate plus any qualifying nominations from the floor.
Section 5.2 The emailing of the ballots shall be prepared by the Secretary.

Section 5.3 Ballots shall be emailed to all SJVCSS members after May 1st.

5.3.1 Ballots must be returned to the SJVCSS Secretary no later than June 1st. Late ballots will not be counted.

5.3.2 After the ballot return date, a Board of Tellers counts the votes.

5.3.3 The Secretary shall notify the Executive Committee and all candidates of the unofficial results of the election.

5.3.4 The Board of Directors, at their June meeting, shall certify the results of the election, making them official.

ARTICLE VI - BOARD OF DIRECTORS

Section 6.1 A Board of Directors shall act as legal entity responsible for the SJVCSS and shall manage
the affairs of the council.

6.1.1 The Board of Directors shall consist of fourteen (14) voting members,
including the four elective officers specified in clause 4.1.1, the Regional Director to CCSS, and the Immediate Past President

6.1.2 The Immediate Past-President and Regional 7 Director of CCSS Board also sit as voting members on the SJVCSS Board.

6.1.3 The Board of Directors shall meet at least bimonthly each year, on dates and in places to be determined by the Board of Directors.

Section 6.2 Special meetings of the Board of Directors may be called by the President or by petition
of any eight (8) members of the Board of Directors.

6.2.1 Special meetings shall be held at a place reasonably accessible to members
of the Board of Directors.

6.2.2 Special meetings must be preceded by at least two weeks written notice
delivered personally, phoned, emailed or mailed to each director at the address shown on the records of the council.

Section 6.3 A quorum for the transaction of business by the Board of Directors shall consist of seven (7) Board of Directors members.

6.3.1 If less than a full quorum present, a majority of those present may adjourn
the meeting to another time without further notice.

6.3.2 An action by the majority of the directors present at a lawfully-called meeting at which a quorum is present shall be an action by the Board of
Directors.

Section 6.4 A director must be present at a meeting of the Board in order to cast any vote at said meeting.

Section 6.5 Any vacancy occurring on the Board of Directors will be filled by appointment by the Board of Directors within the requirements of the particular office.

Section 6.6 The policy-making, goal-setting, program-definition and institutional oversight functions of
SJVCSS leadership are vested in the Board of Directors. In addition to such additional powers and functions as may be specified elsewhere in these Bylaws the Board of Directors has the power to:

6.6.1 amend these Bylaws by the designated procedures as specified in Article 9.1

6.6.2 adopt and approve major changes in the annual budget

6.6.3 approve non-budgeted expenditures over $100.00

6.6.4 ratify ongoing contracts with independent agents

6.6.5 approve the report of the Nominating Committee

6.6.6 appoint members and chairs of committees as deemed necessary

6.6.7 approve annual objectives and multi-year goals for the SJVCSS

6.6.8 approve new programs, publications, or electronic media, and major changes in existing programs or publications

6.6.9 receive and approve financial reports

6.6.10 receive and approve meeting minutes

ARTICLE VII – EXECUTIVE COMMITTEE

Section 7.1. The administrative, financial management, and supervisory functions of SJVCSS leadership are vested in the Executive Committee. In addition to such other powers and functions as may be specified elsewhere in these by-laws the Executive Committee shall:

7.1.1 Recommend the annual budget to the Board of Directors as provided in the Standing Rules.

7.1.2 Approve changes within major categories in the budget.

1. Receive regular financial reports and direct financial management accordingly.

2. Review and approve all contracts by the SJVCSS. This function may be delegated for certain minor contracts.

3. Oversee the operations of SJVCSS awards program to History Day.

Section 7.2 The Executive Committee shall consist of four (4) elected SJVCSS officers listed in clause 4.1.1 of these bylaws.

Section 7.3 The time and conduct of Executive Committee meetings shall be agreed upon by the Executive Committee members.

ARTICLE VIII – COMMITTEES

Section 8.1 The SJVCSS shall create committees as may be deemed necessary.

Section 8.2 The SJVCSS shall encourage members to take part in state standing committees.

8.2.1 Travel expenses of SJVCSS members who become Core members of CCSS standing committees will be funded by the CCSS.

8.2.2 Each CCSS standing committee shall meet a minimum of two times in each fiscal year, once in September at a place and time specified by the Board of Directors, and once in the early spring at the Annual Conference.

8.2.3 CCSS Standing Committees may, at their own discretion, meet at other times in addition to the two annual meetings specified above, but participation in additional meetings is not funded by the Council unless the CCSS Board of Directors has approved an action proposal for that committee which includes such provision for funding such meetings.

Section 8.3 The SJVCSS shall have a Nominating Committee

8.3.1 The responsibilities of the Nominating Committee are specified in Article V - Elections

Section 8.4 The Nominating Committee shall be appointed by the president with the approval of the Board of Directors.

8.4.1 The chairperson of the Nominating Committee shall be the Vice-President of the SJVCSS

ARTICLE IX - AMENDMENTS TO THE BYLAWS

Section 9.1 These bylaws may be altered, amended, or repealed, and new bylaws adopted by the
Board of Directors (1) at any regular meeting of the Board by a 3/4 affirmative vote of the
directors present, or (2) by a majority vote of the directors present at two consecutive
regular meetings of the Board of Directors.

Section 9.2 Amendments to the bylaws which change the number of seats [twelve (12)] on the Board of Directors may only be made by a vote of the membership.

9.2.1 Any such proposed change shall be voted on by the members on the same ballot
and in the same manner as the annual election of officers.

9.2.2 An affirmative vote of the majority of the ballots cast shall be sufficient to
pass such a change in the bylaws.

9.2.3 Proposed bylaws amendments of this type may be placed on the ballot in the
following ways:

9.2.3.1 By written petition of one-tenth (1/10) of the SJVCSS membership.

9.2.3.2 By resolution of two-thirds (2/3) of a regularly scheduled Board of Directors meeting, provided that the President shall have presented such a petition or proposal one month in advance of the meeting.

9.2.3.3 By resolution of the Board of Directors.
